Terms of Service

Welcome to Jobyo. These Terms of Service (“Terms”) govern your access to and use of the Jobyo website, mobile and web applications, application programming interfaces (APIs), and related services (collectively, the “Service”). The Service is operated by NidSons Inc., a company incorporated in Canada, doing business as “Jobyo” (“Jobyo”, “we”, “us”, or “our”).
By creating an account, subscribing, or otherwise using the Service, you agree to these Terms, our Privacy Policy, our Acceptable Use Policy, and our Refund & Cancellation Policy, each of which is incorporated into these Terms by reference. If you do not agree, you may not access or use the Service.
If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.
1. Eligibility and Account Responsibilities
To use Jobyo, you must be at least 18 years old or the age of majority in your jurisdiction. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including that of any users you invite or authorize.
You agree to provide accurate and complete information when creating an account and to keep it current. You are responsible for configuring user roles and permissions appropriately and for ensuring that your authorized users comply with these Terms.
2. Subscriptions, Billing, and Pricing
Jobyo is a subscription-based software-as-a-service platform. By subscribing, you agree to pay all applicable fees for your selected plan and any additional users or usage-based charges (such as document-scanning allowances). Full details are set out in our Refund & Cancellation Policy.
- Fees are billed in advance on a recurring basis (monthly or annually) through our third-party payment processor, Stripe. We do not store your full payment-card details.
- Subscriptions renew automatically for successive periods unless cancelled before the end of the current billing period.
- You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds except where required by law.
- We may change pricing or plan features from time to time. We will give advance notice by email or in-app message, and changes take effect on your next renewal.
- Fees are exclusive of taxes; you are responsible for any applicable sales taxes (such as GST/QST).
3. Free Trials
We may offer a free trial period. Trials are generally limited to one per company. If you do not add a payment method or cancel before the trial ends, your access may pause or your paid subscription may begin, as described at sign-up and in our Refund & Cancellation Policy.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy. Among other things, you must not violate applicable law, infringe the rights of others, attempt to reverse-engineer or extract the source code of the Service, transmit malware, interfere with the integrity or performance of the Service, or use the Service to build a competing product. We may investigate suspected violations and suspend or terminate accounts engaged in prohibited conduct.
5. Your Data and Our Roles
You retain all ownership of the content, records, and data you and your users submit to the Service (“Customer Data”). You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as needed to provide, secure, and improve the Service and as instructed by you.
Where Customer Data includes personal information, you act as the controller (or equivalent) of that information and Jobyo acts as your processor/service provider. Our processing of such personal information on your behalf is governed by our Data Processing Agreement, which forms part of these Terms. You are responsible for having a lawful basis to collect the personal information you upload and for providing any required notices to your own customers and personnel.
6. Intellectual Property
The Service, including all software, branding, designs, and underlying technology, is owned by Jobyo and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
7. Third-Party Services and Sub-Processors
The Service relies on and may integrate with third-party providers, including Google (Firebase authentication, cloud hosting and storage, and address lookup), Microsoft, and Stripe (subscription billing). Certain features send data to these providers to function. Your use of any third-party service is governed by that provider’s own terms and privacy practices, and we are not responsible for their availability or data-handling practices. A current list of sub-processors is maintained in our Privacy Policy and Data Processing Agreement.
8. AI-Assisted Features
Certain features use automated and artificial-intelligence processing to assist you. For example, our optical-character-recognition (OCR) invoice-capture feature transmits document images you upload to a third-party AI provider (Anthropic) to extract structured data. This provider processes the data under a data-processing agreement, does not use your content to train its models, and deletes it in accordance with its retention terms.
AI-assisted output may contain errors and is provided to speed up data entry only. You are responsible for reviewing and verifying all extracted or suggested information before relying on it. AI-assisted features do not constitute accounting, tax, legal, or professional advice.
9. Data Privacy and Security
Our handling of personal information is described in our Privacy Policy. We implement reasonable technical and organizational safeguards designed to protect your data, including encryption in transit and access controls. No system is completely secure, and you are responsible for maintaining secure credentials and for the conduct of your authorized users.
10. Data Retention and Deletion
Following cancellation or termination, we may retain Customer Data for a limited period (typically up to 30 days) to allow you to export it or to meet legal obligations, after which we may delete or anonymize it unless we are legally required to retain it. We recommend exporting important data before cancelling.
11. Service Availability and Data Loss
We strive to keep Jobyo available and reliable, but we do not guarantee uninterrupted or error-free operation. Downtime, maintenance, bugs, and technical issues may occur. To the fullest extent permitted by law, Jobyo is not liable for data loss, service interruptions, or failures caused by us, by you, or by third-party providers. You are responsible for keeping your own backups of important data.
12. Disclaimer of Warranties
To the fullest extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be secure, uninterrupted, error-free, or that it will meet your specific requirements.
13. Limitation of Liability
To the fullest extent permitted by law:
- Jobyo, its directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, whether based in contract, tort, or otherwise, even if advised of the possibility of such damages.
- Jobyo’s total aggregate liability for all claims relating to the Service will not exceed the amount you paid to us for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnification
You agree to indemnify and hold harmless Jobyo (NidSons Inc.) and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party.
15. Suspension and Termination
You may terminate your account at any time through your dashboard. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or create legal or security risk. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will remain in effect.
16. Changes to These Terms
We may modify these Terms from time to time. Changes will be posted on this page with an updated effective date, and material changes will be communicated by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the courts located in the judicial district of Montréal, Québec, Canada, and you waive any objection to venue in those courts.
